Welcome to PrizePlay®. These Terms constitute a legal "Agreement"; please read them carefully.
BY PLAYING ANY OF THE GAMES OPERATED BY MFORMA EUROPE LIMITED, A UK COMPANY TRADING AS CONNECT2MEDIA, DOWNLOADED FROM ANY DISTRIBUTOR INCLUDING THE PRIZEPLAY® WEBSITE, YOU ARE CONSENTING TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, DO NOT USE THE GAMES AND DELETE THE GAME(S) FROM YOUR MOBILE PHONE.

Users in those states may play PrizePlay® games, purchase games tokens and earn points only.
1)Description of Services: The PrizePlay® games service provides skill based games for use on mobile phones. The games are played by using digital game play tokens that may be purchased from the game menu. The purchase cost of the tokens and any associated service fees will appear on your wireless carrier’s phone bill. These games may reward the user with points for successful play. These points may be redeemed at PrizePlay® rewards catalogs for digital prizes such as ringtones, wallpapers, and images delivered via SMS, MMS, WAP and other means of mobile content delivery to compatible mobile devices ("Downloads") and, where applicable, offers physical prizes, which are mailed by common carrier to users.
2)Access to the Service: In order to use the Service, you must have a mobile communications subscription with a participating carrier or otherwise have access to a mobile communications network for which Connect2Media makes the Service available as well as any carrier services necessary to download content, and pay any service fees associated with any such access. In addition, you must provide all equipment and software necessary to connect to the Service, including, but not limited to, a mobile hand set or other mobile access device that is in working order and suitable for use in connection with the Service. You are responsible for ensuring that your equipment and/or software do not disturb or interfere with Connect2Media 's operations. Any equipment or software causing interference shall be immediately disconnected from the Service and Connect2Media shall have the right to immediately terminate this Agreement. If any upgrade in or to the Service requires changes in your equipment or software, you must effect these changes at your own expense. Unless explicitly stated otherwise, any new or additional features that augment or enhance the current Service, including the release of new products and services, shall be subject to the terms and conditions of this Agreement.
3)Eligibility: For eligibility to participate in the PrizePlay® games service you must:
a)be a natural person
b)be a registered citizen or resident alien with a residential address (not a PO Box number) in the country where the PrizePlay® games service is offered and unrestricted by law,
c)be at least 16 years of age. Users under the age of 18 require parent’s permission to play.
4)Privacy Policy: The PrizePlay® web servers automatically recognize and record the domain name from which you access the Internet and the names of the pages you visit while at the PrizePlay.com rewards catalog website. The PrizePlay® web servers do not automatically extract or store your electronic mail address (See E-Mail Addresses below). The information automatically recognized and recorded is not personally identifiable and is used to improve the content of the PrizePlay® rewards catalog web site and make it more useful.
a)Our Security Procedures Protect Your Information: We work hard to keep information secure. For example, our information security policies:
Govern retention of sensitive information; Restrict access to information systems; and Specify password requirements. Our practices and procedures meet the highest standards. Further, we share only the information we believe is needed to offer a product or service efficiently. Finally, we restrict the use of such information and require that it be kept secure.
b)Information We Collect to Conduct Our Business: We collect information about you to conduct our business and deliver the top quality service you expect. Sources include:
Information we receive from you.
Information we receive from third parties, such as Bling points as a result of your transactions with your games or redemptions fulfilled.
c)Information Shared Within PrizePlay®: We may share information we collect regarding your redemptions with our customer service agents including:
Identification information (such as name and address); Transaction and experience information (such as redemptions and points awarded);
d)Information Shared Outside of PrizePlay®: We may share shipping or redemption information we collect with the following types of companies:
Fulfillment companies that are shipping rewards directly to you.
We do not share any other information about you. We do not supply any information about you, your account, or your Bling® point balance to any other marketing, advertising, or direct marketing entities.
e)Updates and Additional Information: This notice replaces any previous notices from PrizePlay® about the privacy, security, and protection of information. You may have other privacy protections under state laws. We may amend this privacy notice at any time. We will inform you of changes as required by law.
f)Tips to Protect Your Information: PrizePlay® works hard to keep your information secure. You can help by following these tips to protect your information:
Store personal information in a safe place and tear up or shred old receipts and account statements before throwing them away.
Protect your passwords. Do not share them with anyone unless it's for a service or transaction you request and you are confident the other party will protect the information as you would.
g)Email Addresses: If you supply us with your e-mail address, we may let you know by e-mail about special marketing offers for rewards that may be of interest to you. When we collect your e-mail address, and with each special marketing offer e-mail message we send, we will provide you with the opportunity to tell us that you do not wish to receive special marketing offer messages from us in the future.
h)Internet Security: PrizePlay® uses encryption technology to protect certain information sent over the Internet. SSL is an encryption technology known as "Secure Sockets Layer". SSL encrypts transmissions between two parties and verifies the Web site server you are communicating with. An "s" after the "http" in a web site's address indicates that you are attached to a secure server using SSL technology..
i)Use of Cookies: The PrizePlay® rewards web site may use a feature of your Internet browser called a cookie. Cookies are files placed within your browser on your computer's hard drive by a web site server. The PrizePlay® Rewards web site may use cookies to facilitate your Internet sessions, to maintain security and to improve our web sites. For example, PrizePlay® uses cookies to verify your identity, remember your personal settings such as your offer preferences, and to monitor your use of the PrizePlay® rewards web site to improve our services. If you choose not to enable cookies on your browser, you will not be able to use some of the services offered on the PrizePlay® rewards web site.
j)Children: The PrizePlay® rewards web site is not directed to children under age 16 and PrizePlay® does not knowingly collect personal information from children under age 18. Users under the age of 18 require parent’s permission to play. The User is solely responsible for any prize redemption and the use of the PrizePlay® rewards web site.
k)To Further Protect Your Privacy: While exploring the services offered through the PrizePlay® rewards web site, please be aware that other online partners' services accessible through PrizePlay® web sites, have separate privacy and data collection policies and practices, which are independent of and may be different from PrizePlay® policies and practices. PrizePlay® is not responsible or liable for these independent policies and practices and it is your responsibility to review them and decide whether or not they satisfactorily protect your rights.
l)Policy Amendments: This Privacy Policy was last updated June 3, 2010 and updates and replaces any previous Privacy Policy from PrizePlay®. We may amend this Privacy Policy at any time, and when such a change is made we will post a revised version on this PrizePlay® web site. Changes will be effective when they are posted. It is your responsibility to review this Privacy Policy from time to time to be aware of any such changes. Your continued use of this PrizePlay® rewards web site indicates your agreement to any such changes.
5)Copyright: Connect2Media and its licensors holds the worldwide copyright for all copyrighted and copyrightable materials on the PrizePlay® website, including, without limitation, the PrizePlay® trademark, logo, design, text, graphics, forms and any other applicable Materials, including the selection and arrangement of such elements. In addition, the entire website is copyrighted as a collective work under the United States and other international copyright laws. Connect2Media holds the copyright in the Materials as well as the collective work. The collective work includes works that are licensed to Connect2Media. The collective work may also include works that are the property of Connect2Media and its licensors, which are also protected by copyright and other intellectual property laws.
6)Trademarks: All trademarks, service marks, logos, trade names, and any other proprietary designations of Connect2Media used herein are trademarks or registered trademarks of Connect2Media. Any other trademarks, service marks and trade names are the trademarks or registered trademarks of their respective parties.
BINDING TERMS AND CONDITIONS:
1. Accounts: By downloading a PrizePlay® game you agree to allow Connect2Media to establish an account in your name based on your mobile phone number. The establishment of an account and/or the participation in any game or tournament confirms your acknowledgement of and agreement to be bound by Connect2Media Terms and Conditions. If you do not agree to these Terms and Conditions, which includes by incorporation our Privacy Policy, you may not access or otherwise use Connect2Media or its services. Connect2Media may modify these Terms and Conditions at any time. Your continued use of Connect2Media following such modifications signifies your acceptance of those modifications. You are responsible for reviewing these Terms and Conditions periodically for any such modifications.
2. Governing Law: These Terms and Conditions are governed by the laws of the State of California, in the United States of America and are subject to interpretation according to said laws. By establishing an account and/or participating in a Connect2Media game, promotion you agree that any conflict or disagreement that cannot be resolved by the parties will be resolved individually, without resort to any form of class action. You further agree that the State of California in the United States of America will be the sole jurisdiction for resolving any dispute.
3. Entire Agreement: These Terms and Conditions, in connection with the other obligations and rules detailed in writing by Connect2Media, constitute the entire agreement between you and Connect2Media and cannot be modified by you. As previously stated, Connect2Media in its sole discretion has the authority to modify these Terms and Conditions.
4. Severability: If any portion of these Terms and Conditions is deemed void or unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of the remaining provisions.
5. Term: Your non-exclusive license to use PrizePlay® games and/or the website shall be effective from the date you begin using PrizePlay® games and/or the website until the date of termination. This license shall terminate automatically when any of the following occur: (i) Connect2Media removes the website, or (ii) you fail to comply with the terms and conditions described herein. Further, Connect2Media may terminate this license at any time by providing individual or public notice of termination.
6. Eligibility: To participate in any PrizePlay® game or tournament you must be a natural person and be a registered citizen or resident alien with an address in the country where the PrizePlay® games service is offered. You must be at least 18 years of age and possess the legal authority to enter into an agreement and to use PrizePlay® games and tournaments in accordance with these Terms and Conditions. If you are between the ages of 16 and 18 you must have parental permission to use any of the services provided by Connect2Media. You represent and warrant that all registration and account information you supply to Connect2Media is complete and accurate and (through timely updates) are responsible for maintaining the accuracy of this information. Deliberately submitting misleading incomplete and/or inaccurate information will result in the elimination of your account and the forfeiture of any funds you may have won or deposited. Every PrizePlay® player is allowed only one account on our PrizePlay® game network. Connect2Media reserves the right to enforce this limitation by requesting a system wide unique mobile phone number, email address and/or credit card number. If it is discovered that any user has circumvented this limitation Connect2Media has the right to terminate multiple accounts at any time in order to bring the user into compliance with this limitation. Any prizes, reward points, game tokens, and monies associated with closed accounts are subject for forfeiture. The rules governing games, promotions, tournaments and other contests with entry fees and/or prizes are set up by each individual state, not by the federal government. BASED ON THESE 50 SETS OF LAWS, CONNECT2MEDIA AND THE PRIZEPLAY® GAMES SERVICE DOES NOT PERMIT RESIDENTS OF THE STATES OF ARIZONA, ARKANSAS, CONNECTICUT, DELAWARE, ILLINOIS, IOWA, LOUISIANA, MARYLAND, SOUTH DAKOTA, TENNESSEE AND VERMONT TO PARTICIPATE IN THE REDEMPTION OF PRIZEPLAY® REWARDS. USERS IN THOSE STATES MAY PLAY PRIZEPLAY® GAMES, PURCHASE GAMES TOKENS AND EARN BLING REWARD POINTS ONLY.
7. Additional Persons Not Eligible: Notwithstanding paragraph 6 (Eligibility) the following persons are ineligible to participate in any tournament or receive any PrizePlay® prize offered by Connect2Media: employees, officers, and directors (and their immediate family members) of Connect2Media; its parent companies, subsidiaries, and affiliates; and any other person with access to non-public information regarding the operation of any tournament offered on the website. For purposes of this section, immediate family members include parents, siblings, spouses, children, or any other person permanently residing in the same household with such employee, officer, or director.
8. Compliance with Law and Taxes: You are subject to all laws of the state, province and/or country in which you reside and from which you access the PrizePlay® website and are solely responsible for obeying those laws. You agree that Connect2Media cannot be held liable if laws applicable to you restrict or prohibit your participation. Connect2Media makes no representations or warranties, implicit or explicit, as to your legal right to participate in any tournament offered on the PrizePlay® website nor shall any person affiliated, or claiming affiliation, with Connect2Media have authority to make any such representations or warranties.
Connect2Media reserves the right to monitor the location from which you access the PrizePlay® website and to block access from any jurisdiction in which participation is illegal or restricted.
It is the policy of Connect2Media, in compliance with United States Internal Revenue Service regulations, to send a Form 1099 to any person who wins prizes valued at $600 (USD) or more from PrizePlay® games and Connect2Media in any given year. This form is also filed with the Internal Revenue Service. IRS regulations require you to file a 1099 with your tax returns should you have prize winnings of $600 or more. In order to receive a 1099 form you will be required to submit a completed W-9 Form. When you reach $500 in redeemed prizes we will either email or send by ground mail a W-9 Form to you for completion. Please go to the My Account screen in the game and provide your email and mailing address (which should be your residential address, not a PO Box number).
Failure to provide a completed W-9 Form at that time will result in Connect2Media’s inability to allow you to redeem Bling reward points for digital and gift certificate prizes. Upon receipt of a completed W-9 Form, all redeemed prizes will be sent to you.
All information you provide on a W-9 Form will be held in the strictest privacy.
Should you not wish to return a W-9 Form, you may redeem your Bling for game play Tokens for continued game play. At all times, you remain solely responsible for paying all federal and other taxes in accordance with the laws that apply in your state, province, and/or country of residence.
9. Property Rights: By establishing an account and/or participating in any PrizePlay® game or tournament you are acknowledging that the entirety of Connect2Media’s content is the protected property of Connect2Media. and its licensors. You acknowledge that you are provided access to this information for your own individual use and you agree not to change, sell, publish, participate in the transfer or sale of, create derivative works or in any other way exploit this information for any purposes.
10. Additional Privacy Policy: Connect2Media will not intentionally disclose any personally identifying information about you (including your social security number and information regarding your IP address) to third parties, except where Connect2Media in good faith, believes such disclosure is necessary to comply with the law or enforce these Terms and Conditions or other rules of Connect2Media games. Connect2Media may use your username and game or tournament records and winnings in accordance with section VI Promotional Activities (see below). By using the Prizeplay website you signify your acceptance of Connect2Media’s Privacy Policy. If you do not agree with this Privacy Policy, in whole or part, please do not use the PrizePlay website.
11. Technical Configuration: It is your sole responsibility to confirm the technical compatibility between your mobile phone and/or computer system and the PrizePlay services.
12. Promotional Activities: By registering for an account you agree that Connect2Media may display your user name and game or tournament records on the site or in publicity emails. By registering with Prizeplay you agree to allow Connect2Media to print, publish, broadcast and use, worldwide, in any media and at any time, your name, picture, voice, likeness, and/or biographical information for promotional purposes without additional compensation.
13. Submissions: If you send comments or suggestions, including, but not limited to, notes, text, drawings, or computer programs, to Connect2Media such submissions shall become, and shall remain, the sole property of Connect2Media. No submission shall be subject to any obligation of confidence on the part of Connect2Media. Connect2Media shall exclusively own all rights to, and shall be entitled to unrestricted use of, all such submissions without compensation to you.
14.. Chat Policy Rules of Conduct: Connect2Media reserves the right to ban users who violate these standards, or who in any way abuse the community purpose of the chat areas. Profanity, obscenities, or the use of **asterisks** to disguise such words, is not permitted. Obscene, lewd, slanderous, pornographic, abusive, violent, insulting, indecent, threatening and harassing language of any kind will not be tolerated. Impersonation of other persons or players is not allowed. Opinions or comments on the subject at hand are welcomed, but attacking (flaming) individuals, companies or products is not allowed. Please limit chat to the subject of PrizePlay games. Do not share personal information (your name, phone number, home address, and password) with others on the site that you do not know from contexts not related to PrizePlay. No political and religious messages or content is allowed. No advertising of any kind is allowed in chat messages. No copyrighted materials are allowed in chat messages. Information disclosed in chat rooms becomes property of Connect2Media. and is revealed to the public. Connect2Media is not responsible for any information you choose to disclose to others. Advanced fonts, java, tables, html, or other programming codes or commands are not allowed in chat messages.
15. Anti-Spam Policy Connect2Media: Connect2Media is against the practice commonly referred to as "Spam". Validated reports of "Spam" will result in the termination or suspension of the offender’s account. Connect2Media defines "Spam" as: Electronic mail messages addressed to a recipient with whom the initiator does not have an existing business or personal relationship or is not sent at the request of, or with the express consent of, the recipient; Messages posted to Usenet and message boards that are off-topic (unrelated to the topic of discussion), cross-posted to unrelated newsgroups, or posted in excessive volume; Solicitations posted to chat rooms, or to groups or individuals via Internet Relay Chat or "Instant Messaging" system (such as ICQ);
Connect2Media will evaluate each validated abuse incident on a case-by-case basis and impose Termination or Suspension at its sole discretion. Connect2Media may undertake, at its sole discretion and with or without prior notice, the following enforcement actions described in detail below: Account Suspension: Upon the receipt of a credible and validated complaint, Connect2Media may elect to suspend the membership of the user implicated in the abuse. Suspension serves as a "Final" warning and will prevent the abuser from continuing their abusive "Spamming" behavior. The Site reserves the right to lift the suspension of a user at any time, at its sole discretion. Account Termination: Upon the receipt of a credible and validated complaint, Connect2Media may immediately terminate the membership of the individual user implicated in the abuse. Termination results in the immediate closure of the account, forfeiture of any funds you may have won or deposited, a prohibition against any future membership, and the user will lose the right to compete in any game play.
16. Reporting Abuse: If you wish to report a violation of our Anti-Spam Policy, please forward all evidence of abuse to: support@prizeplay.com
DISCLOSURES:
1. Winning Odds: Odds of winning as the outcome of the various PrizePlay games and tournaments are directly related to the skill level of the particular participants, it is impossible to accurately access an individual's odds of winning.
2. Winner Determination: Winners of Connect2Media’s games and tournaments will be determined by the scoring processes related to the particular game and as articulated and defined on the Prizeplay® website. By using PrizePlay®, you signify your acceptance of Connect2Media’s game rules and agree to play by them. If you do not agree with the game rules, in whole or part, please do not use PrizePlay® games or services provided by Connect2Media.
Rules for each specific game offered can be found by going to the HELP section in each mobile game menu or by going to the FAQ section of the Prizeplay® website.
LIMITED LIABILITY:
3. General Disclaimer: By establishing an account or participating in any game or tournament offered by Connect2Media you hold Connect2Media harmless relative to any loss, damages, injury related from use, access or attempted use or access to the Prizeplay® website. You also agree that Connect2Media is not liable for any loss, damage, or injury relating from downloading or otherwise reviewing any information from the Prizeplay® website. You further agree that Connect2Media is not liable for any damages to your mobile phone and/or personal computer resulting from any attempts to access the Prizeplay® website. In case of a malfunction or disruption of service for which Connect2Mediais responsible that prevents you from completing game in which you have begun to participate, Connect2Media will refund the entry fees charged for that unfinished game or tournament only. Connect2Media reserves the right to determine, in its sole discretion, whether it is responsible for any such malfunction or disruption. Connect2Media also reserves the right to limit your play or terminate your account should Connect2Media determine, in its sole discretion, that you have intentionally caused such a malfunction or disruption. Connect2Media is not liable for any entry fee or potential winnings from any unfinished tournament.
4. No Warranty: All goods and services provided on the Prizeplay® website are provided "as is," without warranty of any kind, either express or implied, including but not limited to, the implied warranties of title, merchantability, fitness for a particular purpose, or non-infringement. Connect2Mediadoes not warrant or guarantee that any portion of the site or the games will be free of infection by viruses, worms, Trojan horses or anything else manifesting contaminating or destructive properties; or that access to the site or games will be uninterrupted or error-free. No person affiliated, or claiming affiliation, with Connect2Media has the authority to extend such warranties.
5. Internet: If for any reason the mobile or Internet portion of the games are not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Connect2Media which corrupt or affect the administration, security, fairness, integrity, or proper conduct of these games, Connect2Media reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the contest. In such event, Connect2Media further reserves the right to award prizes to the players with the most points as of the termination date. Connect2Media assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries or transactions. Connect2Media is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail entry or transaction to be received on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this contest. Furthermore, Connect2Media assumes no liability for any losses related to the above outlined failures or caused by any disconnection from the games.
6. Credit Card Use: You agree that Connect2Media is not liable for any loss caused by any unauthorized use of your credit card or any other method of payment by a third party in connection with Connect2Media. Any attempt to defraud Connect2Media. through the use of credit cards or other methods of payment, regardless of the outcome, or any failure by you to honor legitimate charges or requests for payment will result in immediate termination of your account, forfeiture of any funds you may have won or deposited to which you are otherwise entitled, and to civil and/or criminal prosecution.
7. Anti-Hacking Policy: By establishing an account or participating in any contest or tournament on the Prizeplay® website, you agree that Connect2Media is not responsible for any damage, loss, or injury resulting from, hacking, tampering, or other unauthorized access to the Prizeplay® website or your account. Any attempt to gain unauthorized access to Connect2Media’s systems or any account, interfere with procedures or performance of the Prizeplay® website or deliberately damage or undermine Connect2Media is subject to immediate civil and/or criminal prosecution to the fullest extent of the laws of the United States of America and laws established by International treaties and will result in immediate termination of your account and forfeiture of any funds you may have won or deposited to which you are otherwise entitled.
8. Account User Restrictions: As the holder of your account, you are solely responsible for all obligations and are entitled to all benefits thereof, and may not allow any other person to access your account, access the Prizeplay® website, accept any winnings, or participate in any tournament using your account information. Your account is not transferable to any other person. By registering and/or participating in any tournament offered on the Prizeplay® website, you agree to indemnify, defend, and hold Connect2Media harmless from or for any claims, liability, damages, and/or costs (including attorney fees) arising from any use of your account by any person.
9. Third Party Promotions Connect2Media may display and make available promotions, advertisements, and offers provided by third parties ("Third Party Promotions"). You understand and agree that Connect2Media shall not be responsible and shall have no liability for any Third Party Promotion, and that you participate in or choose to click on a Third Party Promotion solely at your own risk. You agree that your sole remedy in connection with any Third Party Promotion will be with the third party offering the Third Party Promotion and that you shall have no remedy against Connect2Media arising from your participation in, or inability to participate in, any Third Party Promotion.
10. Account Termination: Connect2Media reserves the right to terminate your account or decline or limit your participation in any game, tournament or promotion for any reason, including, but not limited to harassment of other participants, posting of objectionable material, creating multiple accounts, game fraud, or any breach of the terms of the agreement between you and Connect2Media, and any breach of the security of your account. By registering for an account and/or participating in any tournament offered on the Prizeplay® website, you consent to allow Connect2Media to access your account information to investigate complaints or other allegations of abuse.
11. Prize Substitution: Connect2Media reserves the right to substitute a prize of equal or greater value for any prize selected for redemption by you if the prize you selected is not available. Please allow four (4) to six (six) weeks for delivery of physical prizes. Incorrect mailing addresses will result in the return of the physical prize to Connect2Media. Connect2Media will make one attempt to reach you via text message to your phone or email to a valid email address supplied by you as indicated in your PrizePlay® account.
12. Expiration of Game Play Tokens: Connect2Media reserves the right to void all game play tokens for any PrizePlay® player account if the player has been inactive for three (3) consecutive months. An inactive account is any account in which the PrizePlay® Player has not logged in or played any games in three (3) consecutive months.
13. Expiration of “Bling” Reward Points: Connect2Media reserves the right to void all “Bling” Reward Points or any other reward points offered by Connect2Media for any PrizePlay® player account if the player has been inactive for three (3) consecutive months. An inactive account is any account in which the PrizePlay® server has not logged in or played any games in three (3) consecutive months.
14. Maximum Lifetime Prize Value Redemption: Connect2Media limits the maximum prize value amount that can be earned over the lifetime of an account to $1,000.00 for any individual account holder. Upon reaching this value, the players may continue to play games, earn Bling Reward Points but only use the points to redeem for more game play tokens.
